The rules that govern use of the Optimized Working website, AI agents, and consulting engagements.

By using optimizedworking.com, our AI agents and chat integrations (including any Microsoft Teams app branded "Skynet"), or by entering into a consulting or development engagement with us, you agree to these Terms of Use. If you do not agree, do not use the site or services. Specific engagement terms (statements of work, master services agreements) supersede anything inconsistent here for that engagement.
The site and services are intended for businesses and the people authorized to act on their behalf. You must be at least 16 years old, capable of forming a legally binding contract, and not barred from using the services under the laws of your jurisdiction. If you are using the services on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Our AI agents (including the Skynet Microsoft Teams app) generate output based on the prompts and context you provide. Output is generated by underlying model providers (Anthropic, OpenAI, or another provider we disclose at engagement time) and may contain inaccuracies, omissions, or material that requires human review before use. Always validate AI output before relying on it for material business, legal, financial, medical, or safety-critical decisions. We make no warranty that AI-generated output is accurate, complete, fit for any particular purpose, or free of bias. You retain ownership of the prompts and source content you provide; subject to applicable model-provider terms, you also own the output produced by the agents in response to your prompts.
When you engage Optimized Working for consulting, development, or implementation services, the specific scope, fees, payment terms, and ownership of deliverables are governed by the statement of work or master services agreement signed by both parties. In the absence of such a writing, custom code we deliver to you under a paid engagement is licensed to you for your business use, while underlying tools, frameworks, and reusable components remain ours.
The optimizedworking.com website, including its design, copy, logos, and graphics, is the property of Optimized Working, LLC. The Skynet Teams app logo and branding are likewise our property. Third-party trademarks (Microsoft Teams, Anthropic Claude, etc.) belong to their respective owners. You may link to our site and reference our services in normal commercial discourse; you may not reproduce substantial portions of the site or use our marks to imply endorsement.
Some features rely on third-party services (Microsoft 365, Anthropic API, Formspree, Dualmon, AWS). Your use of those features is also subject to those providers' terms. We are not responsible for the acts, omissions, or service interruptions of third parties.
The site and services are provided "as is" and "as available." We disclaim all warranties to the maximum extent allowed by law, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the services will be uninterrupted, secure, or error-free, or that AI output will be accurate.
To the maximum extent permitted by law, Optimized Working's total aggregate liability arising out of or relating to the services or these terms is limited to the greater of (a) the fees you paid us in the 12 months preceding the event giving rise to liability, or (b) one hundred U.S. dollars (USD 100). In no event will we be liable for indirect, incidental, consequential, special, or punitive damages, lost profits, lost data, or business interruption, even if advised of the possibility. Some jurisdictions do not allow these exclusions; in those jurisdictions, our liability is limited to the smallest amount permitted by law.
You agree to defend, indemnify, and hold harmless Optimized Working, its members, employees, and contractors from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the services in violation of these terms, (b) content or instructions you submit to our AI agents that infringe a third party's rights, or (c) your violation of any applicable law.
These terms are governed by the laws of the State of Arizona, U.S.A., without regard to its conflict-of-laws principles. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Pima County, Arizona. The parties waive any objection to venue or personal jurisdiction in those courts.
We may revise these terms from time to time. The effective date at the top of the page reflects the most recent revision. Continued use of the services after a revision constitutes acceptance of the updated terms.
